Terms of Service

1. Agreement

By installing or using the Second Chance Discount Shopify app ("the App"), you agree to these Terms of Service ("Terms"). The App is operated by Haych Digital Ltd, trading as Built by Shadow ("we", "us", "our"), registered in England and Wales. If you do not agree to these Terms, do not install or use the App.

2. Description of service

Second Chance Discount is a Shopify app that detects failed discount code entries during checkout and can automatically present shoppers with a valid replacement offer. The App also provides analytics on discount code failures, rescue rates, and recovered revenue.

3. Eligibility

You must be the owner or an authorised administrator of a Shopify store to install and use the App. By installing the App, you represent that you have the authority to bind your business to these Terms.

4. Plans and billing

The App offers the following plans:

• Free — includes full analytics and tracking of failed discount code attempts, plus up to 50 rescue offers per month at no cost
• Growth — $99/month, up to 200 rescue offers per month
• Scale — $249/month, up to 600 rescue offers per month
• Unlimited — $499/month, unlimited rescue offers

All paid plans are billed monthly through Shopify's billing system. You can upgrade, downgrade, or cancel your plan at any time from within the App or through Shopify. Downgrades and cancellations take effect at the end of the current billing cycle.

We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing cycle.

5. What counts as a rescue

A "rescue" is counted when the App presents a replacement discount code to a shopper after detecting a failed code at checkout. Each checkout session where a rescue offer is presented counts as one rescue towards your monthly limit, regardless of whether the shopper accepts the offer. Once your plan's monthly rescue limit is reached, the App will continue tracking failed discount code events but will stop presenting rescue offers until the next billing cycle.

6. Free plan

The Free plan includes full access to analytics, reporting, and dashboard features. It provides up to 50 rescue offers per month. No credit card is required to use the Free plan. We reserve the right to modify the Free plan's rescue limit with reasonable notice.

7. Your responsibilities

You are responsible for:

• Ensuring the discount codes and offers you configure in the App are valid and correctly set up in Shopify
• Reviewing the rescue offers the App presents to your customers
• Complying with all applicable laws, including consumer protection and promotional regulations, when offering discounts
• Maintaining the security of your Shopify store and admin account

8. Shopify platform

The App operates within the Shopify platform and is subject to Shopify's Terms of Service and API policies. We are not responsible for any changes, outages, or limitations imposed by Shopify. The App requires certain Shopify API permissions to function — these are requested during installation and are limited to what is necessary for the App's operation.

9. Data and privacy

Your use of the App is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights. By using the App, you consent to the data practices described in the Privacy Policy.

10. Accuracy and reporting

We make reasonable efforts to ensure the accuracy of the analytics and reporting provided by the App. However, reporting data — including rescued revenue estimates, conversion rates, and funnel metrics — are provided on an "as is" basis and should be treated as estimates. Factors outside our control, such as Shopify webhook delivery, browser behaviour, and checkout flow variations, may affect data accuracy.

11. Availability and support

We aim to keep the App available and operational at all times, but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We provide support via email at hello@builtbyshadow.com and via the in-app live chat, and aim to respond within 2 business days.

12. Intellectual property

All rights, title, and interest in the App — including its code, design, branding, and documentation — remain the property of Haych Digital Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the App for its intended purpose while it is installed on your store.

13. Limitation of liability

To the maximum extent permitted by law:

• The App is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App
• Our total liability for any claim arising from or related to the App shall not exceed the amount you paid us in the 3 months preceding the claim
• We are not responsible for lost revenue, lost sales, or business interruption, whether or not we were advised of the possibility of such damages

14. Indemnification

You agree to indemnify and hold harmless Haych Digital Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

15. Termination

You may stop using the App at any time by uninstalling it from your Shopify store. We may suspend or terminate your access to the App if you violate these Terms, abuse the service, or if required by law. Upon termination, your data will be handled in accordance with our Privacy Policy.

16. Modifications to these terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "last updated" date. Continued use of the App after changes are posted constitutes acceptance of the revised Terms. For material changes, we will provide notice through the App dashboard where appropriate.

17. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of England and Wales.
